Summons Studio Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Summons Studio website and any services provided by Summons Studio (“Summons Studio,” “we,” “us,” or “our”). By accessing our website, purchasing, or using our services, you agree to be bound by these Terms.

1) Definitions

For purposes of these Terms:

  • “Client” means any person or entity purchasing or using Services.
  • “Services” means website design, development, branding, maintenance, consulting, strategy, and related creative and technical work provided by Summons Studio.
  • “Deliverables” means the work product we provide, which may include designs, web pages, code, content, graphics, documents, and configurations.
  • “Third-Party Services” means external providers such as hosting platforms, domain registrars, payment processors (e.g., Stripe), analytics tools, plugins, fonts, and APIs.

2) Scope of Services

We provide Services as described in (a) a written proposal, (b) a scope of work, (c) an invoice, (d) a checkout page description, or (e) other written communication we provide to you (collectively, the “Order Terms”). If there is any conflict between these Terms and the Order Terms, the Order Terms control for that specific project.

Any work not expressly included in the Order Terms is out of scope and may require a separate fee, timeline adjustment, or a new agreement.

3) Client Responsibilities

To complete Services efficiently and professionally, you agree to:

  • Provide timely access to required accounts, credentials, and information (e.g., hosting, domain registrar, analytics, CMS).
  • Provide content (text, images, branding assets) and approvals by agreed deadlines.
  • Confirm that you own, license, or have permission to use materials you provide, including logos, images, fonts, and written content.
  • Review Deliverables promptly and provide consolidated feedback.

Delays caused by the Client (including late content or approvals) may extend delivery timelines and may require rescheduling or additional fees.

4) Payment Terms

4.1 Pricing and Taxes

Prices are as stated in the Order Terms. Unless we expressly state otherwise in writing, quoted prices are intended to tax-inclusive where applicable. Any tax liability (including sales tax, VAT, or similar) imposed on the transaction may be collected within the quoted amount, meaning the net amount retained by Summons Studio may be reduced by the tax portion.

You are responsible for providing accurate billing details and any tax-related information we reasonably request.

4.2 Payment Processing

Payments may be processed through Third-Party Services (including Stripe). By submitting payment, you authorize us (and our payment processor) to charge the provided payment method for the total amount due, including any applicable taxes or fees.

4.3 Late Payments

If a payment is late, we may pause work, withhold Deliverables, or suspend Services until the account is brought current. Work paused due to non-payment may require rescheduling and may affect delivery timelines.

5) Deposits and Project Reservation

Certain Services may require a deposit or upfront payment to reserve project time and initiate work. Unless expressly stated otherwise in writing, all deposits are non-refundable.

Deposits secure availability, scheduling, and preparation, and compensate Summons Studio for reserving time, initiating planning, and declining other work opportunities. Once a deposit is paid, Summons Studio will allocate resources and begin preparatory or substantive work.

If a project is canceled, paused, or terminated by the Client after a deposit has been paid, the deposit will be retained by Summons Studio and will not be refunded or credited, except where required by applicable law or expressly agreed to in writing.

Deposits may be applied toward the total project fee where stated in the applicable Order Terms, but they do not guarantee completion if Client obligations are not met.

6) Strictly Limited Refund Policy

All sales are final except as expressly stated below. Due to the custom, time-based, and digital nature of our Services, refunds are strictly limited.

6.1 Non-Refundable Items

The following are non-refundable under all circumstances:

  • Discovery calls, consultations, and strategy sessions once delivered.
  • Deposits and reserved project time once work has started.
  • Fees paid for completed milestones or Deliverables.
  • Third-Party costs (including domains, hosting, plugins, themes, licenses, stock assets, subscriptions, or platform fees) purchased on your behalf or required for the project.
  • Work performed prior to a pause or termination (see Section 9).

6.2 Limited Refund Eligibility

A refund may be considered only if:

  • You submit a written request to t.meade.group@gmail.com within 72 hours of purchase; and
  • No substantive work has begun (including but not limited to discovery, research, planning, design drafts, development setup, repository creation, access configuration, or asset preparation); and
  • No Deliverables have been provided or partially provided.

If these conditions are satisfied, any refund granted may be reduced by: (a) payment processor fees, (b) non-refundable Third-Party costs, and (c) a reasonable administrative fee where permitted by law.

6.3 Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute for charges that are valid under these Terms, we may suspend all Services, revoke access to Deliverables, and/or pursue collection of amounts owed, including reasonable administrative costs, dispute fees, and legal costs where permitted by law.

7) Project Acceptance, Revisions, and Delivery

Unless otherwise stated in the Order Terms, projects typically include a reasonable number of revision rounds. Additional revision rounds, major scope changes, or rework due to Client-provided content changes may incur additional fees.

Delivery timelines are estimates and depend on timely Client input, approvals, and access. We are not responsible for delays caused by Client inaction or Third-Party Services.

8) Intellectual Property and Licenses

8.1 Client Materials

You retain ownership of materials you provide (“Client Materials”). You grant Summons Studio a limited, worldwide, non-exclusive license to use Client Materials solely to perform the Services.

8.2 Deliverables

Upon receipt of full and final payment, you receive a license or assignment (as specified in the Order Terms) to use the Deliverables for your internal business purposes and public-facing marketing. Summons Studio retains ownership of pre-existing tools, frameworks, templates, processes, and know-how used to create the Deliverables.

8.3 Portfolio Use

Unless you request confidentiality in writing, you grant Summons Studio the right to display non-confidential portions of the project (e.g., screenshots, general descriptions) in our portfolio and marketing materials.

9) Termination, Suspension, and Abandonment

9.1 Termination by Client

You may terminate Services by written notice. In such event, you remain responsible for all fees and costs incurred up to the termination date, including completed milestones and non-cancelable Third-Party costs. Refunds are governed by Section 6 and are strictly limited.

9.2 Termination or Suspension by Summons Studio

We may suspend or terminate Services if you breach these Terms, fail to pay, provide unlawful content, or materially interfere with our ability to perform. In such case, you remain responsible for amounts due for work performed and costs incurred.

9.3 Project Abandonment

If you fail to provide required materials, access, or approvals for 30 days (or another period stated in the Order Terms), the project may be deemed abandoned. Restarting an abandoned project may require a rescheduling fee and updated pricing.

10) Third-Party Services

Third-Party Services are provided by independent parties and are not controlled by Summons Studio. We are not responsible for Third-Party outages, changes, security incidents, billing policies, or service terms. Your use of Third-Party Services is subject to their separate terms and policies.

11) No Legal Advice; Professional Disclaimers

Summons Studio provides design, development, branding, and related creative/technical services. We do not provide legal advice, legal opinions, or legal representation, and nothing on our website or in our communications constitutes legal advice. You are solely responsible for ensuring your website and business comply with applicable laws, regulations, accessibility requirements, and industry rules.

12) Warranties and Disclaimers

Unless expressly stated in the Order Terms, Services and Deliverables are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Summons Studio disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

13) Limitation of Liability

To the maximum extent permitted by law, Summons Studio will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Summons Studio’s total liability arising out of or related to these Terms or the Services will not exceed the amount actually paid by you to Summons Studio for the Services giving rise to the claim during the 3 months prior to the event giving rise to the liability.

14) Indemnification

You agree to indemnify, defend, and hold harmless Summons Studio and its owners, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your content or Client Materials; (c) your breach of these Terms; or (d) your violation of any law or third-party rights.

15) Governing Law; Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Harris County, TX, and you consent to personal jurisdiction and venue in those courts.

16) Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date reflects the most recent changes. Your continued use of the website or Services after changes become effective constitutes acceptance of the updated Terms.
